Awani & Partners is an unincorporated Limited Partnership, legally represented by a managing partner with unlimited legal liability.
Companies seeking equity funding negotiate terms with the general partner. Awani & Partners does not hold any shares in companies seeking private equity. Shares in companies seeking equity are held by special purpose vehicles, which are formed to receive capital from private funders, who believe in the economic potential offered by the capital seeking founders.
Activities of Awani & Partners are limited to evaluating proposals from founders seeking private equity and all processes related to evaluating proposals, approaching interested partners, discussing the best suitable legal structure to move suggested investment projects towards implementation and finally forming special purpose vehicles to syndicate funds for injection of funds.
The general partner takes full personal legal responsibility for statements made in brochures and other promotional material issued under the name Awani & Partners regarding the investment proposals discussed.
General Partner is Ullrich Afini-Awani. Senior partners are Wemimo Okupe, Dr Ingo Kiedaisch, John George, Abiodun Shode and Thomas Koch. The liability of Senior Partners and associated investors contributing funds to special purpose vehicles is limited to funds they provide for operating the Limited Partnership and the funds they contribute to the special purpose vehicles. These vehicles are limited liability companies.
Ullrich Afini-Awani represents investor Interests on the platform and allocates funds to special purpose vehicles. Dr Ingo Kiedaisch controlling and implements the so called "Chinese Wall".
For the avoidance of doubt, it is again stated that Awani & Partners is an unincorporated Limited Partnership with Ullrich Afini-Awani acting as the General Partner with full personal legal liability. All Senior Partners are only liable with the amounts provided for operating the Limited Partnership. All other investors discussing investment opportunities on the platform are not liable for statements of Awani & Partners. They are only liable for equity they provide for special purpose vehicles, which provide funding for companies asking for equity.
Ullrich Afini-Awani – General Partner
Ullrich Afini-Awani is a German lawyer by training with German/Nigerian nationality. He is born in Lagos/Nigeria, attended a German boarding school, studied law at the University of Heidelberg, trained as a clerk for judicial appointment at a German district court and was called to the bar of Frankfurt as a fully qualified lawyer thereafter. He returned to Nigeria in 1999, where he started managing investment projects. Ullrich Afini-Awani carries the organizational risk of the unincorporated Awani & Partners Limited Partnership as a private individual for all investment projects promoted through the Awani & Partners Private Equity Platform.
Dr Ingo Kiedaisch - Senior Partner
Dr Ingo Kiedaisch, a German citizen, holds a PhD in business administration and has served numerous companies on market and corporate development topics. He is an expert in business development and management, as well as corporate organisation. He has assisted in sourcing funding for numerous ventures, some of which are now publicly listed companies. Dr Ingo Kiedaisch is not personally liable for actions of Awani & Partners' Private Equity Platform. He delivers his services internally to investment projects as independent Entrepreneur with limited liability.
Wemimo Okupe - Senior Partner
Wemimo Okupe, a Nigerian citizen, studied finance at the University of Washington. He is a seasoned risk and finance consultant of high repute and integrity with over 30 years of experience in structuring investments in Nigeria. He advises public and private entities on mitigating risks in the hostile Sub-Saharan business environment.
John George – Senior Partner
John George, a Nigerian citizen, studied business administration at the University of Lagos and has acquired a deep understanding of the marginal oil field market in Nigeria during his professional career, offering marine services through his shareholdings in Jon Marino Ltd, GCI Oil & Gas Ltd and Sub Sea 9 Ocean Services Limited since 2009. John George is not personally liable for actions of Awani & Partners. He delivers his services internally to investment projects as independent Entrepreneur.
Abiodun Shode - Senior Partner
Abiodun Shode holds a BSc in Accounting from OAU, Ile-Ife and an MBA in Financial Management from Lagos State University. He is a Certified Pension Practitioner and executive director at Veritas Glanvills Pensions, where he is responsible for Investments, Benefits Administration, Contribution Processing/Reconciliation, Transfer Window operations, and Information & Communications Technology (ICT). Prior to his appointment as executive director of Veritas, Abiodun had put in over 25 years in the banking industry with hands-on experience in internal control, investigation & audit, retail banking, consumer banking, commercial banking, corporate banking, and structured business/finance.
Thomas Koch - Senior Partner
Thomas Koch studied business administration in Austria, Taiwan and the US. He trades various types of commodities worldwide with a focus on Africa. Besides commodity trading, he is also active in the IT sector and is majority shareholder in a legal-tech software company. His strength is market and business development. He adds his international trading know-how to the team.
